Should a design firm use an umbrella or increase underlying limits?

Written and reviewed by Michael LaBarbera, licensed insurance agent

Higher underlying limits increase the limit within a primary policy; an umbrella provides additional liability protection above specified underlying coverage, subject to its own terms. For design firms, an umbrella must not be assumed to increase professional liability limits or satisfy a contract’s professional liability requirement.

What are the key facts?

Key facts and sources
An umbrella has its own coverage conditions and exclusions.[1]
The underlying insurance schedule is essential to the review.[2]
Additional limits do not remove primary-policy exclusions.[1]
Professional liability requirements need their own limit analysis.[1]

What does the contract actually ask the firm to carry?

Identify each required coverage line and its per-claim, occurrence or aggregate structure.

A client may list general liability and professional liability in neighboring paragraphs but require different limits for each. Do not add unrelated policy limits together to meet a single requirement. Send the complete insurance schedule to the agent so the requested structure can be compared with the primary policies and any proposed excess layer. A large total displayed in a proposal is not a coverage determination.

What must I check in an umbrella proposal?

Check the scheduled underlying policies, required primary limits, attachment conditions and exclusions.

The umbrella may sit above specified general liability, auto or employers liability coverage rather than the professional liability policy. Review which entities and exposures are insured and what happens if required underlying coverage is missing or insufficient. The word “umbrella” alone does not establish how a design-error allegation would be treated. Obtain the wording rather than relying on an informal description of extra protection.

Why might increasing the primary limit be different?

A higher primary limit remains part of that policy’s coverage structure instead of introducing a separate layer.

This can change the administrative and claims structure, but it does not make every contractual duty insurable. Defense treatment and aggregate erosion still matter for professional liability. Compare the proposed limit change with existing sublimits and exclusions. If a project asks for higher professional liability limits, discuss that specific need rather than assuming an office umbrella can be used in its place.

What information helps the agent compare the alternatives?

Provide the contract, current declarations, endorsements, operations and the proposed project exposure.

Explain whether the limit requirement applies to one project or the continuing practice, and whether other clients share the annual aggregate. Identify any joint venture or additional entity involved. Ask the agent to document what each proposed structure actually adds and what it leaves unchanged. Availability is an underwriting question; this guide is not a recommendation of a particular limit or confirmation that a contract will be satisfied.

Frequently asked questions

Can I combine general and professional liability limits?

Do not treat limits on different coverage lines as interchangeable when checking a contract.

Does excess coverage remove a design-services exclusion?

No such assumption is safe. Read the excess coverage and exclusions explicitly.

Do higher limits change the retroactive date?

A limit change does not by itself establish prior-acts protection; review that wording separately.

Can a project need a separate professional liability arrangement?

It may. Provide the project requirements for a specific review of available structures.

Policy forms and endorsements control; this is not legal advice or a coverage decision.

Carrier names identify markets quoted through our agency. Availability depends on underwriting, state, policy wording and endorsements; this is not an offer of coverage.
